Terms of Service
This agreement governs your access to the ReChange exchange, the dashboard, and the API.
1. Acceptance
These Terms form a binding agreement between [ReChange Labs OU] ("ReChange") and the person or entity that opens an account ("you").
You accept these Terms when you create an account, click agree, call the API, or accept any payment through the Service — whichever happens first.
The Privacy Policy and AML & KYC Policy are incorporated by reference.

3. Eligibility
- At least 18 years old, or the age of majority where you live
- Have legal capacity to enter into contracts
- Not a resident of a restricted jurisdiction — see AML Policy
- Not on any sanctions list
- Not have had a previous ReChange account terminated for breach
4. Accounts
You may register with email and password, or through Google sign-in. You are responsible for every action taken under your account or with your API keys.
5. What ReChange does
We generate deposit addresses, confirm payments, record your Merchant Balance, execute payouts, and notify your systems by webhook.
We do not offer exchange brokerage, custody-as-a-product, lending, staking, or investment services. We are not a bank.
6. Custody
The Service is custodial. Payers send funds to addresses ReChange controls. Between payment confirmation and payout, private keys are ours.
7. Fees
Two components apply: a service fee (percentage of Invoice value) and a network fee (pass-through, per network). Fees are deducted before crediting your balance.
We may change fees on 30 days' notice. Pass-through network fees can change without notice.
8. Finality
Confirmed blockchain transactions are irreversible. Neither you, nor a Payer, nor ReChange can claw one back.
- You carry no chargeback risk
- You have no recourse if you release goods against an unconfirmed payment
- An erroneous Payout to a valid address cannot be undone
9. Prohibited use
You must not use the Service for anything unlawful, for money laundering, fraud, ransomware, darknet markets, sanctions evasion, or any prohibited activity listed in detail in the full terms.
10. Compliance
You will complete verification as described in the AML Policy, respond to information requests within 10 business days, and hold whatever licences your activity requires.
11. Taxes
Your tax position is yours. You are responsible for determining, reporting and paying every tax arising from your use of the Service.
12. Availability
The Service is provided on an "as available" basis. We depend on third parties — blockchain networks, node providers, rate feeds, hosting. Their failure can degrade or interrupt the Service.
13. Risk disclosure
- Volatility. Asset values move sharply
- Irreversibility. Mistakes are permanent
- Network risk. Chains fork, halt, reorganise, congest
- Stablecoin risk. A pegged asset can lose its peg
- Custody risk. You hold a claim against us, not the assets
- Regulatory risk. Rules are changing quickly
14. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranty of any kind. We do not warrant that the Service will be uninterrupted, timely, secure or error-free.
15. Limitation of liability
Neither party is liable for indirect, incidental, special, consequential or punitive loss. Our total aggregate liability is limited to the greater of the service fees paid in the three months before the claim, or EUR 1,000.
Nothing limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.
16. Termination
- By you. Close your account at any time. Withdraw your balance first
- By us, on notice. We may terminate for convenience on 30 days' notice
- By us, immediately. Where we suspect prohibited use, fraud, or a sanctions breach
- Effect. API access stops, open Invoices are cancelled, balance returned to your address
17. Changes
We may amend these Terms. For material changes we give at least 30 days' notice. Continuing to use the Service after the effective date is acceptance.
18. Governing law
These Terms are governed by the law of [jurisdiction]. Disputes are subject to the exclusive jurisdiction of the courts of [jurisdiction].
